VeroTerra – Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between VeroTerra ("Company," "we," "us," or "our") and you ("Customer," "you," or "your") regarding your access to and use of VeroTerra’s products and services, including The Mirror hardware and software, the Local LLM Appliance, and the Magic Insights analytics platform (collectively, the "Services").

By purchasing, accessing, or using our Services, you agree to be bound by these Terms.

1. Definitions

  • "The Mirror": The proprietary hardware unit and integrated software providing a net promoter score interface, avatar interaction, and live streaming capabilities.
  • "Appliance": The private, secure, local Large Language Model (LLM) hardware provided by VeroTerra.
  • "Magic Insights": The software service that analyzes data (public and private) to generate customer experience recommendations.
  • "Customer Data": All data, information, and content provided by you or collected from your end-users through the Services.

2. Hardware Terms (The Mirror & Appliance)

2.1 Shipment and Title. VeroTerra will ship the Hardware to the address specified in your order. Title and risk of loss pass to you upon our delivery to the carrier.

2.2 Hardware Warranty. We warrant that the Hardware will be free from material defects in workmanship and materials for a period of [e.g., 12 months] from the date of delivery ("Warranty Period").

2.3 Exclusions. This warranty does not cover damage resulting from misuse, unauthorized modification, natural disasters, or failure to follow installation instructions (including network configuration for the local LLM).

3. Software and AI License

3.1 License Grant. Subject to these Terms and payment of fees, VeroTerra grants you a non-exclusive, non-transferable right to use the embedded software and SaaS elements (Magic Insights) for your internal business purposes.

3.2 AI Interactions & Output. You acknowledge that the Services utilize Artificial Intelligence.

  • Accuracy: While we strive for precision, AI models may produce inaccurate or offensive outputs ("hallucinations"). You are responsible for evaluating the accuracy of any output before relying on it for business decisions.
  • The Mirror Avatars: You agree that the avatars and responses generated by The Mirror are automated and may not reflect the specific views of VeroTerra.

3.3 Restrictions. You shall not: (a) reverse engineer the Hardware or Software; (b) use the Services to build a competitive product; or (c) use the Services for any illegal purpose.

4. Data Privacy and Security

4.1 Local Processing. A key feature of the VeroTerra Appliance is local data processing. You acknowledge that while the LLM operates locally, certain telemetry data or cloud-based features (like "Magic Insights" updates) may require internet connectivity.

4.2 Customer Data Ownership. You retain all rights to your Customer Data.

4.3 Privacy & Biometrics. Since The Mirror utilizes cameras for live streaming and potential computer vision analysis:

  • You are solely responsible for obtaining all necessary consents and providing notices to your end-users (e.g., credit union members) regarding video recording and data collection.
  • You agree to comply with all applicable privacy laws (e.g., GLBA, biometric privacy acts).
  • VeroTerra acts only as a processor/service provider.

5. Fees and Payment

5.1 Fees. You agree to pay all fees specified in the Order Form (including hardware costs, setup fees, and recurring SaaS/maintenance subscriptions).

5.2 Taxes. You are responsible for all applicable sales, use, and excise taxes.

6. Confidentiality

Both parties agree to protect the other’s Confidential Information with the same degree of care used to protect their own, but in no event less than reasonable care.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEROTERRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR DATA). OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold VeroTerra harmless from any claims arising out of: (a) your use of the Services in violation of law; (b) any dispute regarding end-user consent; or (c) your Customer Data.

9. Term and Termination

9.1 Term. This agreement commences on the effective date of your Order and continues for the subscription term selected.

9.2 Termination for Cause. Either party may terminate this agreement if the other party materially breaches these Terms and fails to cure within 30 days.

10. General Provisions

10.1 Governing Law. Maryland law applies.

10.2 Entire Agreement. These Terms constitute the entire agreement between the parties.
